The following terms of service (these "Terms of Service"), govern your access to and use of the Mentor My Music website and mobile application, including any content, functionality and services offered on or through www.MentorMyMusic.com or the Mentor My Music mobile application (the "Site") by Mentor My Music LLC. Mentor My Music LLC is collectively referred hereto as "Mentor My Music" "we" or "us" and “you” or “user” means you as a user of the Site.

Please read the Terms of Service carefully before you start to use the Site. By using the Site, opening an account or by clicking to accept or agree to the Terms of Service when this option is made available to you, you accept and agree, on behalf of yourself or on behalf of your employer or any other entity (if applicable), to be bound and abide by these Terms of Service. You further acknowledge, you have read and understood our Privacy Policy, found here. If you do not want to agree to these Terms of Service or the Privacy Policy, you must not access or use the Site.

This Site is offered and available to users who are at least 18 years of age and of legal age to form a binding contract. If you are under 18 you are not permitted to use the Site or the Mentor My Music services. By using the Site, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Site

Definitions

The words “User,” “you” and “your” means any individual that uses Mentor My Music as a Customer and/or Mentor.

“Mentor My Music,” “we,” “our”, and “us” refer to Mentor My Music LLC.

“Mentor” refers to the person who uses Mentor My Music to offer mentoring services on the Site.

“Customer” refers to the person who uses Mentor My Music to book a Mentor session on the Site.

General Terms

The Site serves as a platform for Customer to book a mentoring session with a Mentor (each a “User” and collectively, “Users”) and a means to facilitate the booking and payment of mentoring services.

Only registered users may access, book and provide mentoring service on Mentor My Music. Registration is free. In registering for an account, you agree to provide us with accurate, complete and updated information and must not create an account for fraudulent or misleading purposes. You are solely responsible for any activity on your account and for maintaining the confidentiality and security of your password. We are not liable for any acts or omissions by you in connection with your account.
Mentors offer bookable mentoring sessions on Mentor My Music to allow Customers to purchase their services. Mentoring services are offered at a price determined by the Mentor. Customer’s pay Mentor My Music in advance to book a mentoring session.

Users may not offer or accept payments using any method other than booking a session through MentorMyMusic.com.

Users undertake to comply with Mentor My Music’s Community Standards, which are a set of Acceptable Use applicable to the Mentor My Music users, community and services in addition to these Terms of Service, as updated from time to time without notice to you.
You may not offer direct payments to Mentors using payment systems outside of the Mentor My Music website. Mentors may not accept any direct payments outside of the Site. In case you have been asked to use an alternative payment method, please report it immediately to Customer Support at info@mentormymusic.com
Mentor’s are not employees or agents of Mentor My Music but are independent service providers using the Site to sell their knowledge to Customers and, as such, together with Customers, are defined as Users of the Site. Mentors will have no authority to enter into any agreement on Mentor My Music’s behalf or bind Mentor My Music to any agreement or obligation. Nothing contained herein will create a partnership or joint venture between the Customers and/or Mentors on the one hand and Mentor My Music on the other.
Mentor My Music is not involved in the mentoring sessions between Customers and Mentors. You understand and acknowledge that Mentor My Music does not supervise, monitor or take part in the mentoring sessions.
Mentor My Music shall not be liable for any services of or sessions with Mentors. . You agree to hold harmless Mentor My Music and its affiliates, successors, assigns, and each of their directors, officers, members, shareholders, employees, associates, agents, contractors and representatives from and against any losses, damages arising in connection with your use of the Site.
Mentors if they so wish are responsible for obtaining a general liability insurance policy with coverage amounts that are sufficient to cover all risks associated with the performance of their services.

Transactions

The Site is provided to mentor Users to offering mentoring services to Customer Users and to coordinate the mentoring session between the mentor User and the Customer User regarding the mentoring services as well as the payment for such services. All mentoring work shall be provided by the mentor User using methods and devices that are not provided by Mentor My Music or the Site. The Site is provided to Customer Users on a password-protected basis to coordinate the booking of the mentor User and the Customer User regarding the mentoring services provided (including the linking of audio examples from the Customer User), as well as the payment for such services. All audio files shall be provided by the Customer User using methods and devices that are not provided by Mentor My Music or the Site.

Eligibility

Our services are intended for individuals who can form legally binding contracts under
applicable law. These terms form a legally binding agreement between the User and
Mentor My Music. If you are under age 18, you may not use the Site. Mentor My Music does hereby disclaim any liability whatsoever for any misstatements and/or misrepresentations made by any User of this Site. Users do hereby represent, understand, and agree to forever release and hold Mentor My Music harmless from any misstatements and/or misrepresentations made by any Users of this Site or from any and all claims of intellectual property infringement, plagiarism, or other claims regarding the use or ownership of any audio files or other intellectual property introduced to or through the Site by any User.

Links and Account Information

All Users do hereby agree to be the sole, authorized user of their account, and to be
responsible for all use of their account. While the Mentor My Music may have access to User accounts, Mentor My Music otherwise has no control over the use of any User's account and expressly disclaims any liability derived therefrom. Should any user suspect that any unauthorized party may be using their account, User does hereby agree to contact Mentor My Music immediately. Links (such as hyperlinks) from the Site to other sites on the Web do not constitute the endorsement by Mentor My Music of those sites or their content. User acknowledges that these links are provided as an information service, for reference and convenience only. It is the responsibility of the User to evaluate the content and usefulness of the information obtained from other sites. User acknowledges that Mentor My Music does not control such websites, and is not responsible for their content, and that the existence of such links on the Site to such websites (including without limitation external websites that are framed by the Site as well as any advertisements displayed in connection therewith) does not mean that Mentor My Music endorses any of the material on such websites, or has any association with their operators. Users further acknowledge that use of any website controlled, owned or operated by third parties is governed by the terms and conditions of use for those websites, and not by Mentor My Music' Terms of Service and Privacy Policy. User agrees that User accesses such third-party websites at User's own risk. Mentor My Music expressly disclaims any liability derived from the use and/or viewing of any websites or other material associated with links that may appear on this Site. All users do hereby agree to hold Mentor My Music harmless from any liability that may result from the use of links that may appear on the Site.

COPPA Compliance

The Site is intended for people 18 or older. We have also made an effort to specifically limit the Site’s appeal to people of age 18 or older. Mentor My Music will not knowingly collect any information from children under the age of 18. You must identify your age during the registration process. Mentor My Music takes the Children's Online Privacy Protection Act of 1998 (COPPA) as well as all FTC regulations very seriously, and our policies and procedures are designed to maintain strict compliance with the Rules and Regulations set forth thereunder. That being said, Mentor My Music does not assume any responsibility for any misrepresentations regarding the age of any User made in connection with any User's enrollment or registration for or use of the Site. We reserve our right to terminate without notice the registration of any User if we believe that the User has provided any false
information to us when enrolling or registering for or using this Site.

Commercial Use Prohibition

The Site is for the personal use of individual Customer User and Mentor User only, and may not be used in connection with any commercial endeavors without the express consent of Mentor My Music in advance. You should not use the Site for any illegal or unauthorized purpose, including (but not limited to) collecting usernames and/or email addresses of Users or visitors to the Site by electronic or other means, unless express written permission from Mentor My Music is obtained in advance. Mentor My Music reserves the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress in the event that any User violates the terms of this section. Use of the Site is with the permission of Mentor My Music. Mentor My Music reserves the right to terminate your use of this Site at its sole discretion at any time.

Information Provided by Users

Users are responsible for providing accurate, timely and complete information to Mentor My Music in connection with their registration for and use of the Site. Mentor My Music is not responsible for any claims relating to any inaccurate, untimely, or incomplete information provided to us.

Acceptable Use Policy

Do not use Mentor My Music to stalk, bully, abuse, harass, threaten or intimidate anyone else.
Do not use Mentor My Music to engage in misleading or deceptive conduct, or conduct that is likely to mislead or deceive any other User.
Respect the intellectual property rights of Mentors and Customers, including by not recording, reproducing, sharing, communicating to the public or otherwise distributing without authorization.
Do not do anything that violates our or someone else's rights, including intellectual property rights (examples of which are copyright, trademarks, confidential information, and goodwill), personality rights, unfair competition, privacy, and data protection rights.
Do not impersonate us, one of our employees, another User, or any other person or company or falsely state or suggest any affiliation, endorsement, sponsorship between you and us or any other person or company.
Do not provide false account registration information or make unauthorized use of anyone else's information or Content.
Do not use other media or methods (for example the use of codewords or signals) to communicate anything which violates this Policy.
Do not reproduce, print, distribute, attempt to download, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any content, except as permitted under the Terms of Service.
Do not knowingly introduce any viruses, trojans, worms, logic bombs or other material which is or may be malicious or technologically harmful.
Do not decompile, disassemble, reverse engineer, or otherwise attempt to discover or derive the source code of Mentor My Music.
Do not use Mentor My Music in a way that could adversely affect our systems or security or interfere with any other User’s use of Mentor My Music, including their ability to engage in real-time activities through Mentor My Music.
Do not use any automated program, tool or process (such as web crawlers, robots, bots, spiders, and automated scripts) to access Mentor My Music or any server, network or system associated with Mentor My Music, or to extract, scrape, collect, harvest or gather Content or information from Mentor My Music.
Do not use Mentor My Music' name, logo or any related or similar names, logos, product and service names, designs, or slogans other than in the limited ways which are expressly permitted in the Terms of Service or with our prior written agreement.

Breaches of this Policy may lead to your account being suspended or terminated, and access to your earnings being revoked, as set out in the Terms of Service.

Obligations between Mentor and Customer: In respect of every Mentor/Customer Transaction:

The Customer and the Mentor participating in the Customer/Mentor Transaction agree to comply at all times with the Acceptable Use Policy.
The Customer participating in the Customer/Mentor Transaction agrees to make the payment required to book a mentoring session(s), and agrees not to initiate a chargeback.
The Mentor participating in the Customer/Mentor Transaction agrees to make themselves available for a mentoring session at the schedule day and reserved time.
The Mentor is solely responsible for conducting the mentoring session.

Your Information

"Your Information" is defined as any information you provide to us or other Users
through the Site, including any and all audio files or links or other data/information uploaded to the Site. You are solely responsible for the accuracy of your Information. With respect to your Information, you hereby represent and warrant to Mentor My Music that your Information (or any items or contents listed therein): (a) shall not be false, inaccurate or misleading; (b) shall not be fraudulent; (c) shall not infringe any third party's copyright, patent, trademark, trade secret or other proprietary right or rights of publicity or privacy; (d) shall not violate any law, statute, ordinance, or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising); (e) shall not be defamatory, libelous, unlawfully threatening, or unlawfully harassing; (f) shall not be obscene or contain child pornography or be harmful to minors; (g) shall not contain any viruses, Trojan Horses, worms, time bombs, cancelbots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; (h) shall not create liability for Mentor My Music or cause Mentor My Music to lose (in whole or in part) the services of our ISPs or other partners or suppliers. Solely to enable Mentor My Music to use the information you supply us with, so we are not violating any rights you might have in that information, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise the copyright, publicity rights, and any other rights you have in your Information, in any media now known or not currently known. Mentor My Music will only use your Information in accordance with our Privacy Policy. Notwithstanding the foregoing, Users agree that unless they explicitly indicate otherwise, the content users voluntarily create/upload and/or link to the Site, including the display of delivered work, may be used by Mentor My Music for no consideration solely for marketing purposes.

Mentor Accounts

You hereby irrevocably grant Mentor My Music, its subsidiary and affiliated corporations, successors, assignees and licensees, the non-exclusive, royalty-free, right, to use your name, appearance, sobriquet, photograph, voice, likeness, biographic material, in whole or in part, in and in connection with the Site and any of Mentor My Music’s services hereunder and the advertising, publicity and promotion thereof the Program throughout the universe, in perpetuity, by all means and media now known or hereafter devised.

No relationship (such as partnership, agent, joint venturer, or employee) between you and Mentor My Music is created by this Agreement or your participation on the Site. You acknowledge that you are not an employee or agent of Mentor My Music but are, like Customers, only Users of the Site. You shall act in accordance with this status and shall not hold yourself out as an officer, employee or agent of Mentor My Music, nor make any claim based on any right or privilege applicable to Mentor My Music’s employees.

Indemnification

By agreeing to the terms of these Terms of Service, Users agree to indemnify, defend, and hold harmless Mentor My Music, its directors, officers, employees, agents, licensors, attorneys, independent contractors, mentors, providers, subsidiaries, and affiliates (collectively referred to herein as "Affiliates ") from and against any and all claim, loss, expense or demand of liability, including attorneys' fees and costs incurred by Mentor My Music and its Affiliates in connection with any claim by a third party (including, but not limited to, an intellectual property claim) arising out of use of the Site in violation of these Terms of Service or in violation of any applicable law . Users further agree that they will cooperate as reasonably required in the defense of such claims. Mentor My Music and its Affiliates reserve the right, at their own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by Users, and Users shall not, in any event, settle any claim or matter without the written consent of Mentor My Music. Users further agree to hold harmless Mentor My Music and Affiliates, as well as, if applicable, the User's employer or anyone who pays for the Service on the User's behalf, from any claim arising from a third party's use of information or materials of any kind that they transmit through or post on the Site.

Effectiveness; Termination

These Terms of Service will become effective immediately upon any use by any User of the Site. Mentor My Music may terminate a User’s ability to use or access the Site by providing the affected User or Users with written or email notice of such termination, which shall be effective immediately upon delivery of such notice to the User or Users. Furthermore, Mentor My Music may terminate a User’s registration with the Site immediately for any breach of these Terms of Service or any applicable policy of Mentor My Music as posted on the Site from time to time. All decisions regarding the termination of accounts shall be made in the sole discretion of Mentor My Music. Mentor My Music is not required to provide any User with notice prior to terminating the User's registration with, or access to, the Site. Mentor My Music is not required to disclose, and may be prohibited from disclosing, a reason for the termination of the User's account. Even after the User's registration/access is terminated, these Terms of Service will remain enforceable against such terminated User. All terms that by their nature may survive termination of these Terms of Service shall be deemed to survive such termination.

Intellectual Property Rights

All text, graphics, editorial content, data, formatting, graphs, designs, HTML, look and feel, photographs, music, sounds, images, software, videos, designs, typefaces and other content (collectively "Proprietary Material") on the Site and provided by Mentor My Music is owned by Mentor My Music or is used with permission. This Proprietary Material is protected in all forms, media and technologies now known or hereinafter developed. Mentor My Music owns all Proprietary Material as well as the coordination, selection, arrangement and enhancement of such Proprietary Materials as a Collective Work under the United States Copyright Act, as amended. Except as expressly provided on the Site or in the Terms of Service, Users may not copy, download, use redesign, reconfigure, or retransmit anything from the Site without Mentor My Music’ prior express written permission. Furthermore, Users are not allowed to post or distribute any material that they do not own, or which they do not have permission to use. ANY RECORDINGS, INCLUDING BUT NOT LIMITED TO VIDEO, AUDIO, OR BY ANY OTHER MEANS, OF MEETINGS OR ANY INTERACTIONS BETWEEN CUSTOMER USER AND MENTOR USER ARE STRICTLY PROHIBITED AND A VIOLATION OF MENTOR MY MUSIC TERMS OF SERVICE . Violation of this policy may result in copyright, trademark or other intellectual property rights violations and liability, and subject Users to termination from the use of this Site or civil or criminal penalties. In addition, the Site contains material protected by the domestic and international laws of copyright, patents, and other proprietary rights and laws. Any use of such Proprietary Material, other than as permitted therein, is expressly prohibited without the prior permission of Mentor My Music and/or the relevant right holder.

Mentor acknowledges and agrees that, as between Mentor and Customer, all results and proceeds of Mentor’s services and activities in connection with the mentoring sessions hereunder, including, without limitation, all writings, ideas, suggestions, materials furnished by Mentor during mentoring sessions, as well as each and every work that Mentor may write, direct, perform, conceive, or compose for and in connection with any mentoring session, and any ideas, suggestions, designs, graphics, titles, and other materials, whether or not fixed, at any time heretofore or hereafter created or contributed by Mentor during any mentoring session shall from the moment of creation constitute works made for hire for the applicable Customer, as that phrase is customarily defined in the provisions of Sections 101 and 201 of the Copyright Act of 1976, Title 17, United States Code. Such Customer shall have the sole and absolute right to copyright the results and proceeds of Mentors mentoring services as copyright author and proprietor thereof. For countries that do not recognize the “work made for hire” principle, Mentor hereby irrevocably grants, assigns, and transfers to Customer, free and clear of any and all claims for royalties or other compensation except as expressly set forth herein, all rights, including all copyrights, with respect to the results and proceeds of Mentor’s services during a mentoring session, exclusively and perpetually, or for the maximum legal term of protection, throughout the universe, in any and all media, now or hereafter known to the fullest extent possible under applicable law. Customer shall have no obligation to Mentor unless Customer agrees in writing.

he Mentor User confirms that all information received from the Customer User, which is not public domain, shall be kept confidential and shall not be shared or used for any purpose whatsoever other than for the delivery of the applicable work from the Mentor User.

Notice of Trademark Rights

The service marks and trademarks MentorMyMusic.com, and the Mentor My Music logo are service marks owned by Mentor My Music. Any other trademarks, service marks, logos and/or trade names appearing on the Site are the property of their respective owners.

Users acknowledge the rights of Mentor My Music and the respective third parties in those marks. Users may not copy or use any of these marks, logos or trade names without the prior written permission of the owner as expressly allowed by these Terms of Service.

Privacy

Mentor My Music' Privacy Policy located on this Site as modified by Mentor My Music from time to time shall govern any disclosure or use of User's personal information. By using this Site, you do hereby represent, understand and agree that you have reviewed and agree to those terms.

Copyright Complaints and Copyright Agent

Mentor My Music respects the intellectual property of others, and asks Users to do the same. Mentor My Music seeks to be in continuing compliance with the Digital Millennium Copyright Act. In order to protect intellectual property from misuse, Mentor My Music asks Users to help us. If Users believe, in good faith, that any materials on the Site infringe upon Users' copyrights, please provide Mentor My Music’ Copyright Agent with the following information:
1. An electronic or physical signature of the owner of the copyright or the person authorized to act on behalf of the owner of the copyright interest; 2. A description of the copyrighted work that you claim has been infringed, including the URL (Internet address) or other specific location on the Site where the material you claim is infringed is located. Include enough information to allow Mentor My Music to locate the material, and explain why you think an infringement has taken place; 3. A description of the location where the original or an authorized copy of the copyrighted work exists -- for example, the URL (Internet address) where it is posted or the name of the book in which it has been published; 4. Your address, telephone number, and e-mail address; 5. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law. 6. A statement by you, made under penalty of perjury, that the information in your Notice is accurate, and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Mentor My Music’ Copyright Agent for Notice of Claims of Copyright Infringement can be reached at the following information: by Email, info@mentormymusic.com. Mentor My Music will terminate access to the Site of those who engage in repeated acts of infringement.

Limited License

Mentor My Music grants Users a nonexclusive, revocable right to use the Site provided that Users do not (i) copy, modify, create a derivative work of, reverse Mentor, reverse assemble or otherwise attempt to discover any source code, (ii) modify or attempt to modify the Site in any manner or form, or (iii) violate any term in these Terms of Service.

Modifications to the Site

Mentor My Music reserves the right in its sole discretion to review, improve, modify or discontinue, temporarily or permanently, the Site or any content or information on the Site with or without notice to the User. Users have the same rights with regard to their self-generated content on the Site. Users agree that Mentor My Music shall not be liable to User or any third party for any modification or discontinuance of the Site.

User Account, Password and Security

Users are responsible for maintaining the confidentiality of any password and account
username provided by themselves or Mentor My Music for accessing the Site, and are fully responsible for all activities that occur under User's password or account. User agrees to immediately notify Mentor My Music of any unauthorized use of Users' password or account or any other breach of security.

No Agency

Users are not legally affiliated with Mentor My Music in any way by virtue of their registration with or usage of this Site and no agency, partnership, joint venture, employer-employee or franchisor-franchisee relationship is intended or created by these Terms of Service.

Disclaimer of Warranties

USER EXPRESSLY AGREES THAT THE USE OF THIS SITE IS AT THE USER'S SOLE RISK. NEITHER MENTOR MY MUSIC NOR ITS AFFILIATES OR LICENSORS WARRANT THAT ACCESS TO THE SITE WILL BE UNINTERRUPTED OR THAT
THE SITE WILL BE ERROR-FREE; NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE, OR
AS TO THE ACCURACY, RELIABILITY OR CONTENT OF ANY INFORMATION, SERVICE OR MERCHANDISE PROVIDED THROUGH THE SITE. MENTOR MY MUSIC
IS NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE WEBSITE OR SERVICE. THE SITE IS PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR
IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTIBILITY OR FITNESS FOR A
PARTICULAR PURPOSE. NEITHER MENTOR MY MUSIC NOR ITS AFFILIATES OR
LICENSORS WARRANT OR GUARANTEE THE TIMELINESS, ACCURACY OR COMPLETENESS OF THE INFORMATION APPEARING ON THE SITE.
ADDITIONALLY, THERE ARE NO WARRANTIES AS TO RESULTS OF ANY USER'S USE OF THE INFORMATION AVAILABLE ON OR VIA THE SITE.
MENTOR MY MUSIC AND ITS AFFILIATES DO NOT WARRANT THAT THE SITE IS FREE FROM VIRUSES, WORMS, TROJAN HORSES, OR OTHER HARMFUL
COMPONENTS. THE COMPANY AND ITS AFFILIATES TAKE REASONABLE MEASURES TO ENSURE THAT THE INFORMATION PROVIDED BY USERS IS
DISCLOSED ONLY TO THOSE PERSONS SPECIFIED BY USERS. MENTOR MY MUSIC AND ITS AFFILIATES CANNOT AND DO NOT, GUARANTEE THAT THE
PERSONAL INFORMATION ENTERED BY USERS WILL NOT BE MISAPPROPRIATED, INTERCEPTED, DELETED, DESTROYED OR USED BY OTHERS. USERS AGREE NOT TO HOLD MENTOR MY MUSIC OR ITS AFFILIATES LIABLE FOR ANY LOSS OR DAMAGE OF ANY SORT INCURRED AS A RESULT
OF ANY SUCH MISAPPROPRIATION, INTERCEPTION, DELETION, DESTRUCTION OR USE OF INFORMATION PROVIDED BY USERS THROUGH THE SITE. THE COMPANY AND AFFILIATES SHALL NOT BE LIABLE FOR ANY CLAIM, INJURY OR DAMAGE ARISING FROM THE USE OR INABILITY TO USE THE SITE.

Limitation of Liability

Under no circumstances will Mentor My Music or its Affiliates be liable to Users for any indirect, incidental, consequential, special or exemplary damages arising from any provision of these Terms of Service or any violation of any provision of these Terms of Service. Furthermore, the aggregate liability of Mentor My Music or its Affiliates arising with respect to these Terms of Service and the Site will not exceed the total amounts paid by any User in the previous twelve (12) months under these Terms of Service. Any notice or other communication to be given hereunder will be in writing and given by facsimile, postpaid registered or certified mail return receipt requested, or electronic mail.

Arbitration

Any controversy or claim arising out of or relating to an alleged breach of these Terms of Use or the operation of this Site shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association before a single arbitrator. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in San Francisco, California and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Either you or Mentor My Music may seek any interim or preliminary relief from a court of competent jurisdiction in San Francisco, California, necessary to protect the rights of property for you or Mentor My Music pending the completion of arbitration.

General Provisions

Failure by Mentor My Music to enforce any provision(s) of these Terms of Service shall not be construed as a waiver of any provision or right. These Terms of Service, and all other aspects of use of the Site, shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws rules. Any controversy or claim that is not subject to the Arbitration provision set forth in these Terms of Service, other than action for a specific performance or for injunctive relief brought by Mentor My Music, shall be exclusively brought in the federal, state, or local courts located in California; and, with regard to such claims and disputes, Users hereby irrevocably (i) submit to the exercise of personal jurisdiction over them by these courts, and (ii) waive any jurisdictional, venue or inconvenient forum objections to such courts. These Terms of Service constitute the entire agreement between Users and Mentor My Music with respect to the Site. If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions shall be enforced to the fullest extent possible, and the remaining Terms of Service shall remain in full force and effect. These Terms of Service inure to the benefit of Mentor My Music, its successors and assigns.

Fees and Payment

Customer Users shall pay Mentor My Music directly for the Services provided through the Site. Mentor My Music will charge the Customer User's credit card. User agrees to provide such information as required by Mentor My Music in order to process registration and/or payment (including personal, credit card and payment information). While Mentor My Music will use reasonable commercial efforts to ensure the privacy of all credit card and all other personal information, we expressly disclaim any liability for any damage that may result should any information be released to any third parties. User does hereby agree to hold Mentor My Music harmless for any damages that may result therefrom. Mentor My Music will use a third party service to process credit card information of Customer Users and payments to Mentor Users. For further information regarding payments, please contact [info@MentorMyMusic.com] to request information about Mentor My Music' credit card processing company and/or payment company. The User consents to Mentor My Music’s reporting of registration information to the Internal Revenue Service and/or other governmental agencies as may be required by law. All payments are subject to the Terms of Service, privacy polic(ies) and other terms and conditions of the applicable service.

Mentor Fees:
Each Customer User is charged based upon fees published on the Site and dictated by each Mentor User. Mentor My Music collects a percentage from each mentoring session.

Payments to Mentors:

All Payments will be received by a third-party payment provider approved by us.
We do not have control over currency exchange rates or charges imposed by your bank or your e-wallet company, and we and our subsidiary companies will not be responsible for paying any charges imposed by your bank or your e-wallet company.
Payments to the Mentor Users are made within 14 days of mentor rendering services for a fully paid booking and completed session with paying customer.

Circumstances in which we may withhold fees to Mentors:

We may withhold all or any part of the Mentor Earnings due to you but not yet paid out:

if we think that you have or may have seriously or repeatedly breached any part of the Terms of Service;
if you attempt or threaten to breach any part of the Terms of Service in a way which we think has or could have serious consequences for us or another User (including actual or possible loss caused to us or another User); or
You have attempted or threatened to breach any part of the Terms of Service in a way which has or could have serious consequences for us or another User (including actual or possible loss caused to us or another User), and/or result from unlawful or fraudulent activity, we may notify you that you have forfeited your earnings.
We shall not have any responsibility to you if we withhold or forfeit any of your earnings where we have a right to do so under these Terms of Service for Mentors.
You agree that if we consider that your breach(es) of the Terms of Service has or may cause us loss, we may withhold all earnings due to you but not yet paid and we may set off such amounts against any losses suffered by us.

Refunds: All sales are final. There are no returns or refunds of services. Cancellation requests must be made 72 hours in advance and do not guarantee a refund of paid amount.

Promoting Tax compliance and VAT:

We recommend that all mentors seek professional advice to ensure you are compliant with your local Tax and VAT rules, based on your individual circumstances.
By using Mentor My Music as a Mentor, you warrant (which means you make a legally enforceable promise) that you have reported and will report in the future the receipt of all payments made to you in connection with your use of Mentor My Music to the relevant Tax authority in your jurisdiction, as required by law.

Definitions

The words “User,” “you” and “your” means any individual that uses Mentor My Music as a Customer and/or Mentor.

“Mentor My Music,” “we,” “our”, and “us” refer to Mentor My Music LLC.

“Mentor” refers to the person who uses Mentor My Music to offer mentoring services on the Site.

“Customer” refers to the person who uses Mentor My Music to book a Mentor session on the Site.

General Terms

The Site serves as a platform for Customer to book a mentoring session with a Mentor (each a “User” and collectively, “Users”) and a means to facilitate the booking and payment of mentoring services.

Mentors offer bookable mentoring sessions on Mentor My Music to allow Customers to purchase their services. Mentoring services are offered at a price determined by the Mentor. Customer’s pay Mentor My Music in advance to book a mentoring session.

Users may not offer or accept payments using any method other than booking a session through MentorMyMusic.com.

Users undertake to comply with Mentor My Music’s Community Standards, which are a set of Acceptable Use applicable to the Mentor My Music users, community and services in addition to these Terms of Service, as updated from time to time without notice to you.

Mentor My Music is not involved in the mentoring sessions between Customers and Mentors. You understand and acknowledge that Mentor My Music does not supervise, monitor or take part in the mentoring sessions.

Mentors if they so wish are responsible for obtaining a general liability insurance policy with coverage amounts that are sufficient to cover all risks associated with the performance of their services.

Users are responsible for providing accurate, timely and complete information to Mentor My Music in connection with their registration for and use of the Site. Mentor My Music is not responsible for any claims relating to any inaccurate, untimely, or incomplete information provided to us.

Acceptable Use Policy

Do not use Mentor My Music to stalk, bully, abuse, harass, threaten or intimidate anyone else.

Do not use Mentor My Music to engage in misleading or deceptive conduct, or conduct that is likely to mislead or deceive any other User.

Respect the intellectual property rights of Mentors and Customers, including by not recording, reproducing, sharing, communicating to the public or otherwise distributing without authorization.

Do not do anything that violates our or someone else's rights, including intellectual property rights (examples of which are copyright, trademarks, confidential information, and goodwill), personality rights, unfair competition, privacy, and data protection rights.

Do not impersonate us, one of our employees, another User, or any other person or company or falsely state or suggest any affiliation, endorsement, sponsorship between you and us or any other person or company.

Do not provide false account registration information or make unauthorized use of anyone else's information or Content.

Do not use other media or methods (for example the use of codewords or signals) to communicate anything which violates this Policy.

Do not reproduce, print, distribute, attempt to download, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any content, except as permitted under the Terms of Service.

Do not knowingly introduce any viruses, trojans, worms, logic bombs or other material which is or may be malicious or technologically harmful.

Do not decompile, disassemble, reverse engineer, or otherwise attempt to discover or derive the source code of Mentor My Music.

Do not use Mentor My Music in a way that could adversely affect our systems or security or interfere with any other User’s use of Mentor My Music, including their ability to engage in real-time activities through Mentor My Music.

Do not use Mentor My Music' name, logo or any related or similar names, logos, product and service names, designs, or slogans other than in the limited ways which are expressly permitted in the Terms of Service or with our prior written agreement.

Breaches of this Policy may lead to your account being suspended or terminated, and access to your earnings being revoked, as set out in the Terms of Service.

Obligations between Mentor and Customer: In respect of every Mentor/Customer Transaction:

The Customer and the Mentor participating in the Customer/Mentor Transaction agree to comply at all times with the Acceptable Use Policy.

The Customer participating in the Customer/Mentor Transaction agrees to make the payment required to book a mentoring session(s), and agrees not to initiate a chargeback.

The Mentor participating in the Customer/Mentor Transaction agrees to make themselves available for a mentoring session at the schedule day and reserved time.

The Mentor is solely responsible for conducting the mentoring session.

he Mentor User confirms that all information received from the Customer User, which is not public domain, shall be kept confidential and shall not be shared or used for any purpose whatsoever other than for the delivery of the applicable work from the Mentor User.

Notice of Trademark Rights

The service marks and trademarks MentorMyMusic.com, and the Mentor My Music logo are service marks owned by Mentor My Music. Any other trademarks, service marks, logos and/or trade names appearing on the Site are the property of their respective owners.

Users acknowledge the rights of Mentor My Music and the respective third parties in those marks. Users may not copy or use any of these marks, logos or trade names without the prior written permission of the owner as expressly allowed by these Terms of Service.

Privacy

Mentor My Music' Privacy Policy located on this Site as modified by Mentor My Music from time to time shall govern any disclosure or use of User's personal information. By using this Site, you do hereby represent, understand and agree that you have reviewed and agree to those terms.
